1. Introduction and applicability
These Terms of Use (the “Terms”) govern your access to and use of the services, software, interfaces, tools, and related functionality made available by LIQUIFY B.V., a private limited liability company (besloten vennootschap met beperkte aansprakelijkheid) incorporated under the laws of the Netherlands, with its registered office at Mr. Treublaan 7, 1097 DP Amsterdam, the Netherlands, registered with the Dutch Chamber of Commerce (Kamer van Koophandel) under number 93436246 (“AITA”, “we”, “us”, or “our”).
By accessing, connecting to, or using any part of the AITA platform, website, or decentralized application, you enter into a legally binding agreement with AITA, of which these Terms form an integral part. No other terms or conditions apply unless explicitly agreed in writing.
AITA provides technical infrastructure only. AITA is not supervised by the Dutch Authority for the Financial Markets (AFM), the Dutch Central Bank (DNB), or any other financial supervisory authority. AITA is not a broker-dealer, investment firm, investment adviser, exchange, custodian, or asset manager.
Nothing on the platform constitutes financial advice, investment advice, trading advice, or a recommendation of any kind. You use the platform entirely at your own risk.
Definitions
Platform: the AITA software stack, interfaces, dashboards, APIs, smart-contract interfaces, and related tools made accessible via the Website or decentralized application.
Services: access to and use of the Platform, including agent creation, configuration, testing, discovery, signal visualization, and API connectivity features.
User or you: any natural person or legal entity accessing or using the Services.
Agent: a user-defined or user-configured automated or semi-automated logic, strategy, or signal generator created or connected through the Platform.
Wallet: a non-custodial blockchain wallet controlled solely by you.
Website: https://aita.io and any subdomains or extensions.
Terms: these Terms of Use, as amended from time to time.
Definitions apply in both singular and plural form.
Nature of the Platform and Services
AITA provides a non-custodial, user-controlled software platform that enables Users to design, configure, test, and deploy Agents, view, follow, or interact with Agents created by themselves or others, connect external APIs or third-party services at their own discretion, visualize data, signals, metrics, and historical results, and access an open marketplace or discovery layer for Agents.
AITA does not execute trades on your behalf, hold, custody, or control your funds or assets, set or modify trading strategies, guarantee performance, outcomes, or results, or provide investment, legal, tax, or financial advice.
All actions taken by an Agent occur only according to parameters defined or approved by the User and executed through third-party infrastructure or external protocols selected by the User.
Wallet connection and user responsibility
Access to the Services requires connecting a compatible Wallet. You remain at all times the sole controller of your Wallet, private keys, credentials, and permissions.
You acknowledge and agree that AITA never has access to your private keys, all actions initiated from your Wallet are deemed to be authorized by you, and you are solely responsible for securing your Wallet and revoking permissions when desired.
AITA may implement identity verification, compliance checks, or access restrictions where legally required or reasonably necessary. Failure to comply may result in suspension or termination of access.
Use of the Services
You represent and warrant that you are at least 18 years old if a natural person, have full authority to enter into these Terms if a legal entity, use the Platform solely for lawful purposes, act exclusively on your own behalf, do not misuse, manipulate, or interfere with the Platform, do not attempt to bypass safeguards, rate limits, or access controls, and understand the experimental and evolving nature of blockchain technology.
You may not use the Services if doing so is prohibited under applicable law or sanctions regimes. AITA reserves the right to restrict access in certain jurisdictions.
Risks and acknowledgements
You expressly acknowledge that blockchain technology is experimental and may fail or behave unpredictably, Agents may contain errors, logic flaws, or unintended behavior, past performance, backtests, or simulations do not predict future outcomes, market conditions, protocols, or third-party services may change or fail, and you may lose some or all assets associated with your activities.
You bear full and sole responsibility for evaluating risks, strategies, and outcomes.
Availability and modifications
The Platform is provided on an “as is” and “as available” basis. AITA does not guarantee uninterrupted availability, accuracy, or error-free operation.
AITA may modify, upgrade, suspend, or discontinue parts of the Services at any time without liability, including changes to interfaces, features, or supported integrations.
Intellectual property
All intellectual property rights in the Platform, including software, interfaces, documentation, and branding, are owned by or licensed to AITA.
These Terms do not grant you any ownership rights in the Platform. You receive a limited, non-exclusive, non-transferable right to access and use the Services in accordance with these Terms.
Limitation of liability
To the maximum extent permitted by law, AITA, its directors, employees, contractors, and affiliates shall not be liable for any loss of funds, profits, data, or opportunities, errors, bugs, exploits, or vulnerabilities, actions or failures of third-party protocols or services, decisions made by you or your Agents, or indirect, incidental, or consequential damages.
Your sole remedy is to stop using the Services.
10. Indemnification
You agree to indemnify and hold harmless AITA and its affiliates against any claims, damages, or liabilities arising from your use of the Services, your Agents or strategies, violation of these Terms, or violation of applicable law or third-party rights.
11. Force majeure
AITA shall not be liable for failure or delay caused by events beyond its reasonable control, including network failures, blockchain disruptions, regulatory actions, or third-party outages.
12. Amendments and miscellaneous
AITA may amend these Terms at any time. Updated Terms will be published on the Website. Continued use constitutes acceptance.
If any provision is held invalid, the remaining provisions remain in full force.
You may not assign your rights under these Terms without prior written consent.
13. Governing law and jurisdiction
These Terms and any disputes arising therefrom are governed by the laws of the Netherlands. Exclusive jurisdiction lies with the courts of Amsterdam.
